APPOINTMENT OF BOARD AND AUDIT & RISK ASSURANCE COMMITTEE (ARAC) MEMBERS (2)

The current level of remuneration is £95 per day, plus travel and other reasonable expenses. Board and Audit & Risk Assurance Committee (ARAC) meetings are held both in person and virtually. Two of the four annual Board meetings take place at locations across Wales, with virtual attendance available, while the remaining Board meetings and quarterly ARAC meetings are held online via Microsoft Teams. The appointment is for an initial three-year term with an average commitment of two days per month. The closing date for applications is 31 August 2026.

Adnodd is the organisation responsible for ensuring the provision of Welsh and English teaching and learning resources to support the Curriculum for Wales and its qualifications. Its vision is that all learners and practitioners, whatever their backgrounds, have access to high-quality educational resources that spark imagination, support wellbeing and encourage a lifelong love of learning. Working closely with partners across Wales, Adnodd plays a key role in supporting the education sector and is accountable to Welsh Ministers.

We are recruiting two Board Members who will also serve on the Audit & Risk Assurance Committee (ARAC). As a Member, you will support the Chair in setting Adnodd’s strategic direction, monitoring organisational performance and ensuring that aims and objectives are achieved. You will provide strategic leadership and constructive challenge while helping to ensure effective governance, financial management and risk assurance arrangements are in place across the organisation.

As an ARAC member, you will provide independent advice, assurance and support to both the Board and the Accounting Officer on matters relating to governance, internal controls, risk management, audit and statutory obligations. You will also help oversee Adnodd’s financial performance and resource requirements, contributing advice on financial and workforce strategy and performance.

Successful candidates will bring senior-level expertise in strategic financial and/or risk management, together with experience of corporate governance and advising on risk, control and assurance. You will be able to analyse data and performance information, work collaboratively, provide constructive challenge and demonstrate a strong commitment to equality, diversity, inclusion and anti-racism.

We are looking for candidates with Welsh language skills at Level 1 or above. Board meetings are conducted through the medium of Welsh with simultaneous translation available, and ARAC meetings are held in English. Successful candidates will be supported to further develop their Welsh language skills.

Desirable experience includes previous ARAC membership, a recognised financial qualification such as Chartered Accountant status, legal expertise, contract management, procurement and tendering experience, or leadership experience within a Welsh public body.
