Responsibilities
- Responsible for company secretarial, corporate and administrative affairs relating to a portfolio of client companies
- Builds and maintains strong relationships with clients and external stakeholders
- Proactively develop and maintain strong and effective working relationships within the Company and on occasions across the Client Services teams in other jurisdictions, promoting a culture of support, collaboration and a joined-up approach to servicing clients
Tasks (what does the role do on a day-to-day basis)
Ensuring timely and efficient delivery of requested Company Secretarial tasks from clients. This will include : Scheduling and co-ordination of Board meetingsPreparing agendas, drafting board papers and resolutions, preparing board packs, organising, attending and minuting of Board meetings for review by the Company SecretaryMaintaining and managing a schedule of agenda items and actions in respect of Board meetings and following up with responsible partiesPreparing relevant documentation for and managing AGMsEnsuring the maintenance of all statutory records and company registers in Company Secretarial SoftwareFacilitating ad-hoc CoSec requests such as Share Capital Matters (allotments, buybacks, reductions, etc.), Director appointments / resignations, facilitation of document signing assistance, and other items.Ensuring assigned clients are aware of their statutory obligations, governance obligations and Directorship responsibilities.Ensuring all statutory deliverables for assigned clients are met timely.Managing the Register of Overseas Entity services for the Corporate Services team which include initial registration, annual renewals and removals.Providing support and assistance to the Company Secretary on day-to-day company secretarial and corporate governance matters
