Niche financial services business, seeks to recruit its first GC to work as a key part of the Senior Management Team. You will be responsible for legal, compliance, risk and governance matters and build on existing frameworks to take the company through its next phase of growth.
The organisation continues to grow year on year and now manages approximately £ in assets for over 45 different institutional investors. Investments are broadly found in public and private equity, specialist credit, property and land.
Reporting to the CEO, duties will include :
Commercial
- Assessing and advising on the legal risks arising in the business and recommending an appropriate and commercial course of action and strategies to manage these risks
- Monitoring legal developments and proposing commercial solutions to help minimise risk, ensuring consistency across the business
- Manage and monitor in a professionally and commercially effective manner, the relationship with external legal advisers
- Advise in relation to contracts and day-to-day legal matters
Risk Management, regulation and compliance
Supporting the CEO with clear cascading of a robust and relevant risk and compliance framework across the businessAssess and advise on legal compliance risks in the businessConsider and advise on the impact of FCA regulations, Data Privacy, Anti-bribery and EthicsAdvise on corporate governance and provide support to the firm’s committees and working groupsAct as Compliance OfficerFund Management and regulation
Drafting, amending and negotiating agreements including supplier and other general commercial contracts, investment management agreements, NDAs, and ISDAsMaintenance and updating of fund documentation in line with relevant laws and investment policiesTransactions
Advise on transactional matters, including advising on fund / limited partnership investments and structuringProvide legal advice on resolution of commercial disputes if neededRequired experience
Qualified Solicitor or Barrister, under UK or US law with a minimum of 10 years post-qualification experience having worked in both private practice and in-housePrior experience as a GC or Head of LegalDetailed knowledge of the UK financial regulatory environmentRelevant transactional experience gained in an investment management business (or similar) ideally with exposure to private equity and real estateCommercial approach in recommending solutions to the business in legal mattersPrior experience in advising on corporate governance matters (ideally including having either acted as a company secretary or holding a related qualification or interest in pursuing the same)Some knowledge of investment and other commercial agreements, ISDAs, NDA, fund documentationStrong ability in negotiating and reviewing commercial contractsPersonal Skills required
