Job description

Berwins have an exciting opening for a senior corporate or company / commercial lawyer.

The role

Berwins’ commercial work includes both corporate and commercial, but the lead role will, we expect, be from the corporate side. The successful candidate would have the opportunity to step up to a position on the board of the firm (a limited company) after an initial period.

The firm’s corporate work involves a varied range of work, and includes :

  • Share and asset Sales and acquisitions – mostly sales, in a range £500k-£20m
  • Company restructuring
  • EMI share options
  • Shareholders agreements (and disagreements short of litigation)
  • Investment in companies (especially for companies receiving investment)
  • Advice on corporate governance including director training, and advising subsidiaries of global corporations through a specific relationship
  • General corporate advice

Many, but not all Berwins clients operate in the technology sector, and Berwins have been deeply involved with the tech ecosystem in Yorkshire for many years.

The current role is corporate, but it is anticipated that a commercial recruitment will follow a few months later; but that the successful corporate candidate will be part of the decision-making process on recruitment. Some familiarity with commercial work in the corporate role would be advantageous.

Location

Berwins operate out of three locations :

  • Harrogate as the firm’s head office, where most teams are based
  • Leeds, established in 2013 with flexible available desks within a separate office, at Platform New Station Street
  • York, in a well located serviced office facility
  • The successful candidate will be part of growing the footprint and will need to be able to use the Leeds and Harrogate offices in particular.

    About Berwins

Berwins was established in 1993 and has based itself very strongly on its values of care, expertise and service. It has sought to make the best use of technology, and has operated paper-light since 2024 (and paperless in corporate and commercial).

    The person

The successful candidate would be :

  • An experienced corporate lawyer, able to work unsupervised in all the areas of work the firm does
  • Connected, with networks to build on and develop
  • Possibly but not necessarily able to deal with some non-sector-specialist commercial work, as resilience and to be able to support a commercial lawyer, including the current junior lawyer
  • Have the desire and ambition to join the board after an initial period
  • In the first instance please contact Paul Berwin for an initial discussion and fuller description of the opportunity and role.
